These Terms of Service ("Terms") govern your access to and use of the websites, platform, hardware devices, APIs, and related services operated by DispoTag.com, Inc. ("DispoTag," "Company," "we," "us," or "our").
Quick summary. DispoTag provides disposable shipment-tracking devices, a dashboard platform, risk-scoring APIs, and SMS delivery alerts for businesses. By using our services, you agree to these terms. Our services are designed for business use, not individual consumers.
1) Services
DispoTag operates a platform for package and shipment tracking using disposable Bluetooth Low Energy (BLE) beacon devices detected via our detection network and federated smartphone receivers. Our services include:
- DispoTag Trackers: Disposable BLE beacon devices that attach to shipments and report location data throughout the delivery lifecycle.
- Dashboard Platform: A web-based application (app.dispotag.com) for managing tags, viewing delivery analytics, resolving disputes, and generating evidence packages.
- Risk Scoring API: An address-level risk assessment service that scores delivery addresses (0–100) for dispute and fraud risk using six proprietary signals.
- SMS Delivery Alerts: Opt-in proximity notifications sent to package recipients when their shipment approaches its destination.
- Integrations: Connections to Shopify, carrier APIs (FedEx, UPS, USPS), and other third-party platforms.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with reasonable notice when practicable.
2) Acceptance & Eligibility
By accessing or using any DispoTag service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.
You represent that you are at least 18 years old and are authorized to represent a business or organization that is eligible to use the Services. DispoTag services are designed for business use and are not intended for individual consumers.
3) User Accounts
To access our platform, you must create an account. You agree to:
- Provide accurate and complete registration information;
- Maintain the confidentiality of your account credentials;
- Promptly notify us of any unauthorized access to your account;
- Accept responsibility for all activity that occurs under your account.
We support authentication via Google, Microsoft, and email-based sign-in through our identity provider (WorkOS). You are responsible for the security of your third-party authentication credentials.
4) DispoTag Devices
DispoTag hardware devices are provided as part of your subscription plan. You agree that:
- Devices are designed for single-use, disposable deployment and are not intended for reuse;
- You will not attempt to reverse-engineer, modify, disassemble, or tamper with DispoTag devices;
- You will not resell or redistribute DispoTag devices without our prior written consent;
- Device tracking accuracy depends on network coverage, satellite availability, environmental conditions, and device placement — we do not guarantee continuous or precise location reporting;
- Devices must be used in compliance with all applicable laws, including regulations governing the use of tracking devices in your jurisdiction.
5) Third-Party Networks & Services
Our services rely on third-party networks and providers, including our detection network, carrier tracking APIs (FedEx, UPS, USPS), Shopify, Stripe, and others. You acknowledge that:
- The availability and accuracy of third-party services are outside our control;
- You agree to comply with the terms of any third-party services accessed through our platform;
- We are not responsible for any loss or damage resulting from third-party service outages or inaccuracies.
6) Risk Scoring & Data
Our Risk Scoring service uses publicly available data, proprietary delivery intelligence, and cross-merchant anonymized signals to assess address-level risk. You acknowledge that:
- Risk scores are advisory and do not guarantee delivery outcomes;
- Scores may be used to inform shipping decisions but must not be used to discriminate against individuals in violation of applicable law;
- Cross-merchant risk data is anonymized — no merchant can identify another merchant's specific data;
- By using the Risk Scoring service, you consent to your anonymized delivery outcome data contributing to the shared Risk Network for all platform participants.
7) SMS Alerts & Communications
- SMS delivery alerts are opt-in only. Package recipients subscribe by entering their phone number on a public tracking page and clicking "Notify Me."
- Message frequency: up to 3 proximity alerts per delivery (at 5 miles, 2 miles, and 1 mile) plus 1 confirmation message at opt-in.
- Message and data rates may apply. Recipients may reply STOP to unsubscribe at any time.
- We do not use recipient phone numbers for marketing purposes or share them with third parties.
- You are responsible for ensuring that your use of SMS alerts complies with the Telephone Consumer Protection Act (TCPA) and any other applicable telecommunications regulations.
8) Service Availability
We strive to provide reliable and continuous service, but we do not guarantee uninterrupted access. Service may be affected by:
- Network congestion, satellite coverage gaps, or environmental interference;
- Scheduled or emergency maintenance;
- Third-party service outages;
- Force majeure events.
9) Acceptable Use
You agree not to:
- Use our services for any unlawful or fraudulent purpose;
- Reverse-engineer, decompile, or create derivative works from our software or hardware;
- Circumvent any security, authentication, or access-control mechanisms;
- Interfere with or disrupt our services, servers, or networks;
- Exceed published API rate limits or abuse system resources;
- Use our services to track individuals without proper authorization or legal basis;
- Resell or redistribute our services without written permission.
10) Fair Use
We may monitor usage patterns to ensure fair access for all customers. If your usage significantly exceeds normal patterns, we may contact you to discuss your needs or apply reasonable usage limits.
11) Payments & Fees
- Paid subscription plans are billed monthly or annually via Stripe.
- All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
- We may change pricing with at least 30 days' prior notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.
- If payment fails, we may suspend access to paid features until the balance is resolved.
12) Termination
- You may cancel your account at any time through the dashboard or by contacting support.
- We may suspend or terminate your account if you violate these Terms, fail to pay fees, or engage in activity that harms our platform or other users.
- Upon termination, your right to access our services ceases immediately. We will retain data as described in our Privacy Policy.
13) Intellectual Property
All content, software, hardware designs, trademarks, trade secrets, and other intellectual property associated with DispoTag are owned by DispoTag.com, Inc. or its licensors. We grant you a limited, non-exclusive, non-transferable license to use our services for your internal business purposes during your active subscription.
Any feedback, suggestions, or ideas you provide to us may be used by DispoTag without obligation to you.
14) Privacy & Security
Our collection and use of personal information is governed by our Privacy Policy. We implement commercially reasonable security measures to protect your data, but no system is completely secure and we cannot guarantee absolute security.
15) Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or that location data will be accurate or complete.
16) Limitation of Liability
To the maximum extent permitted by law, DispoTag shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, including but not limited to lost profits, lost shipments, data loss, or business interruption, regardless of the cause of action or theory of liability.
Our total aggregate liability for any claim arising from or related to these Terms or our services shall not exceed the total fees you paid to DispoTag in the twelve (12) months preceding the event giving rise to the claim.
17) Indemnification
You agree to indemnify, defend, and hold harmless DispoTag, its officers, directors, employees, and agents from any third-party claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law.
18) Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of our services after the effective date constitutes acceptance of the updated Terms.
19) Governing Law & Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
